IT IS HEREBY AGREED AS FOLLOWS:
I. Content and Information:
i. The First Party will provide the Second Party its own admin panel in order to upload and submit information through a secured extranet. The extranet will include the property’s images, policies, facilities, bookings inventory and invoices.
ii. The Second Party agrees to only upload and submit factual information regarding the property at all times. Any written and visual information that violate UAE’s regulatory law will be omitted by the First Party with a written notice to the Second Party.
iii. The Second Party shall at all time controls the use of its extranet’s username and password and that its usage are its sole responsibility. The First Party shall not be held liable for any data alteration through the extranet.
iv. The Second Party should handle any complaint submitted by the guests due to false representation of information, otherwise the information were created solely by the First Party.
v. The First Party should not publish any new information about the Second Party without its knowledge and permission.
II. Bookings and Commission:
i. The Second Party will receive bookings via e-mail and fax that can be accessed through the extranet/admin panel.
ii. The Second Party agrees to either confirm or cancel a booking made through the first party’s website or agent within 24 hours via e-mail or fax to the First Party or through the extranet.
iii. Every booking will be guaranteed with the guests’ credit card information that should be kept private by the Second Party and will be responsible for any misuse claimed by the guests. The guest will pay the Second Party directly; the First Party is not allowed to interfere in any monetary transaction between the guest and the Second Party.
iv. The Second Party agrees to treat the First Party’s customers as valuable as its other guests.
v. The First Party being newly established in the field will not require any room allotment for the time being, this section will be altered in the near future once proven capable of selling rooms in bulk.
vi. The Second Party should always ensure to give its best room rates to the First Party so as to promote the business and encourage more customers.
vii. The First Party shall not confirm any booking at any circumstances without the Second Party’s acknowledgment.
viii. The Second Party agrees to pay 10% commission to the First Party on every successful booking made through its website and booking agents. Any extended stays shall be declared and a corresponding commission shall be paid.
ix. In the case of a cancellation or no-show, the Second Party’s policies in the matter will apply and no commission will be paid to the First Party. The First Party can only supply the credit card information of the guest, it cannot process or guarantee any payments nor will it be held liable for any charge whatsoever.
x. The First Party will send an invoice to the Second Party to be checked and verified; the verified amount must be settled within the 10 calendar days from the day the invoice is sent via cash, cheque or bank transfer.
III. Amendment:
i. No modification, amendment or waiver of any provisions of this Agreement shall be valid unless it is in writing and signed by the Parties.
IV. Agreement Nullification:
i. Both parties reserve the right to nullify this agreement with one month notice in the event of non-payment of commissions and misrepresentation of data.
IN WITNESS WHEREOF, the Parties hereto have caused this Agreement to be executed by their respective duly authorized representatives on this day 14th of June 2012.
